Goodbay.ai Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Goodbay.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Goodbay.ai ("Goodbay," "we," "us," or "our").

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms.

2. Description of Service

Goodbay.ai is a personal asset management platform that helps you track, value, and manage your physical belongings. The Service includes:

  • Inventory Management — Catalog and organize items you own.
  • Multi-Platform Valuation — Estimate the current market value of your items using data from multiple sources.
  • Email Receipt Scanning — Connect your Gmail or Microsoft Outlook account to automatically extract purchase information from receipt and order confirmation emails.
  • Import Integrations — Import purchase history from eBay (via OAuth), Amazon (via CSV upload), and other sources.
  • Manual and Assisted Entry — Add items via spreadsheet import, barcode scanning, photo-based AI recognition, and QR-code phone handoff.
  • Bridge Network (subscription feature) — Access to the Passive Marketplace, aggregate pricing intelligence, and cross-user analytics.

2.1 Service Tiers

Goodbay.ai is available in three tiers:

1. Self-Hosted (Free / Open Source) — You host the application yourself. The application source code is licensed under the GNU Affero General Public License v3.0 (AGPLv3). This tier operates independently and does not connect to Goodbay.ai infrastructure. 2. Self-Hosted + Bridge Subscription — You host the application yourself and subscribe to the Bridge network for access to aggregate intelligence, the Passive Marketplace, and cross-user analytics. 3. Fully Hosted — We host the application for you at goodbay.ai, with the Bridge network included.

3. Account Creation and Responsibilities

3.1 Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4. Data Ownership

You own your inventory data. All items, valuations, notes, photos, and other content you create or import into Goodbay.ai remain your property. We do not claim ownership of your data.

You grant Goodbay.ai a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you. This license terminates when you delete your account, subject to the anonymized data retention described in Section 5.

You may export your inventory data at any time through the Service's export functionality.

5. Anonymized Data Retention

Please read this section carefully. It describes what happens to your data if you delete your account.

When you delete your Goodbay.ai account:

  • All personally identifiable information (PII) is permanently deleted. This includes your name, email address, OAuth tokens, connected account metadata, and any other information that could identify you.
  • Transaction and item data — including items tracked, purchase prices, sale prices, and dates — is retained in anonymized form. This anonymized data cannot be linked back to you or to any individual person.

We retain this anonymized data to power aggregate valuations and pricing intelligence that benefit all Goodbay.ai users. For example, knowing that a particular product sold for a particular price at a particular time helps us provide accurate market valuations, even after the original user's account no longer exists.

This approach complies with the EU General Data Protection Regulation (GDPR) per Recital 26, which states that the principles of data protection do not apply to anonymized data — that is, data that cannot be related to an identified or identifiable natural person.

By creating an account, you acknowledge and agree to this anonymized data retention policy.

6. Import Sources and Connected Accounts

6.1 Email Scanning (Gmail and Microsoft Outlook)

When you connect your email account to Goodbay.ai:

  • We request read-only access to your email. We will never send, modify, delete, or forward any email on your behalf.
  • We scan only receipt and order confirmation emails, identified by subject line patterns and sender domain filtering. We do not read, process, or store the content of any other emails.
  • Unmodified raw email content (complete MIME messages, headers, attachments) is never stored. For qualifying receipt emails, sanitized email body HTML may be stored for the review interface and parser improvement — see our Privacy Policy Section 1.3 for full details.
  • We extract and store structured receipt data: vendor name, item descriptions, prices, dates, and order numbers.
  • We retain processed message IDs solely to prevent re-scanning the same email.

6.2 eBay Import

When you connect your eBay account via OAuth, we access your purchase history in read-only mode to import items into your inventory.

6.3 Amazon Import

Amazon data is imported via CSV files that you manually upload. Goodbay.ai does not have direct access to your Amazon account.

6.4 Disconnecting an Import Source

You may disconnect any import source at any time. When you disconnect:

  • The OAuth connection (if applicable) is revoked and all associated tokens are deleted.
  • All source-specific scanning metadata (such as processed message IDs for email sources) is permanently purged.
  • Inventory items that were already created from that source are NOT deleted. These items are part of your inventory, and you own them. You may delete them individually if you choose.

This policy applies equally to all import sources: email (Gmail, Outlook), eBay, Amazon, and any future integrations.

7. Open Source License

The Goodbay.ai application is open-source software licensed under the GNU Affero General Public License v3.0 (AGPLv3). The full license text is available at https://www.gnu.org/licenses/agpl-3.0.html.

The AGPLv3 license applies to the application code. It does not apply to:

  • The Bridge network, which is proprietary software operated by Goodbay.ai.
  • Your data, which you own (see Section 4).
  • Aggregate intelligence and analytics derived from anonymized data, which are proprietary to Goodbay.ai.

If you self-host Goodbay.ai and modify the source code, you must comply with the AGPLv3 license terms, including making your modifications available to users who interact with your modified version over a network.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure.
  • Use the Service to track, catalog, or sell stolen property.
  • Reverse engineer, decompile, or disassemble the Bridge network or any proprietary components of the Service (the open-source application itself is governed by the AGPLv3).
  • Interfere with or disrupt the Service or the servers and networks connected to the Service.
  • Use automated means (bots, scrapers, etc.) to access the Service in a manner that exceeds reasonable use or places undue load on our systems.
  • Resell, sublicense, or commercially redistribute access to the Bridge network without our written permission.

9. Intellectual Property

9.1 Goodbay.ai Intellectual Property

The Goodbay.ai name, logo, trademarks, Bridge network, aggregate intelligence algorithms, and proprietary components of the Service are owned by Goodbay.ai and are protected by intellectual property laws. The open-source application code is licensed under the AGPLv3 as described in Section 7.

9.2 User Content

You retain all rights to the content you create or upload to the Service, including inventory items, photos, and notes. By using the Service, you grant us a limited license to process this content as necessary to provide the Service (see Section 4).

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.

10. Limitation of Liability and Warranty Disclaimer

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • Valuations provided by the Service are accurate or complete. Valuations are estimates based on available data and should not be relied upon as the sole basis for financial decisions, insurance claims, or legal proceedings.
  • Data imported from third-party sources (email, eBay, Amazon) will be complete or accurate.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOODBAY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of any third party on the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Any inaccuracy in valuations, pricing data, or aggregate intelligence.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11. Termination and Data Handling

11.1 Termination by You

You may delete your account at any time through the Service's account settings. Upon deletion, your data will be handled as described in Section 5 (Anonymized Data Retention).

11.2 Termination by Us

We may suspend or terminate your account if you violate these Terms. Before termination for cause, we will make reasonable efforts to notify you and provide an opportunity to export your data, except in cases of severe or repeated violations.

11.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease.
  • All OAuth tokens and connected account credentials will be revoked and deleted.
  • Your personally identifiable information will be permanently deleted.
  • Anonymized transaction and item data will be retained per Section 5.

11.4 Data Export

We encourage you to export your data regularly. You may request a full data export at any time through the Service or by contacting us at [email protected].

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in the State of California. You consent to the personal jurisdiction of these courts.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Goodbay.ai regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
